1. Scope and acceptance
These Terms form an agreement between you and Lucid Podcast Advertising LLC, a Wyoming limited liability company with its registered address at 30 N Gould St, STE R, Sheridan, WY 82801, USA, doing business as Lucid Advertising and referred to in these Terms as "Lucid," "we," "us" or "our." By creating an account, submitting an application, purchasing a campaign, connecting a podcast or otherwise using the services, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and have authority to agree to these Terms for yourself or the organization you represent. If you use Lucid for a business, that business is also bound by these Terms.
A checkout page, campaign order, insertion order, onboarding summary or other written agreement may contain additional terms. If those specific terms conflict with these general Terms, the specific terms apply to that service or campaign.
2. Accounts and applications
You agree to provide accurate, current and complete information and to keep your login details secure. You are responsible for activity under your account and must notify us promptly if you suspect unauthorized use.
A podcast application allows Lucid to review factors such as show activity, audience information, publishing consistency, category, listener location, hosting compatibility and potential advertiser fit. Creating an account or submitting an application does not guarantee acceptance, campaign availability, placements, earnings or any minimum level of service.
Lucid may request reasonable supporting information to verify download figures, ownership, authority, audience quality or technical compatibility. We may accept or decline an application at our discretion, subject to applicable law.
3. Podcast RSS feeds and technical setup
If you submit a public podcast RSS feed, you authorize Lucid to access and process the feed and its public metadata for application review, technical compatibility checks, podcast identification, campaign matching, advertising delivery, measurement and reporting.
Providing an RSS feed URL does not give Lucid access to your podcast hosting account and does not authorize Lucid to change your feed. During the application review, nothing is added to or changed in your feed by Lucid.
If your show is accepted, Lucid may provide instructions for adding an approved measurement or advertising connection, such as an RSS prefix, through your podcast host. That connection is added only after you agree to proceed and you or your authorized hosting provider complete the setup. You remain responsible for following your host's terms and for ensuring the setup is authorized for your show.
Technical compatibility can change as hosting providers and delivery systems change. Lucid does not guarantee that every host, feed, episode or download will support advertising delivery or measurement.
4. Podcaster monetization services
Ownership and control
You retain ownership of your podcast, episodes, brand and original content. Lucid does not acquire ownership of your show by reviewing, connecting or monetizing it.
Campaign matching
Lucid may consider your audience, category, listener location, show content, available inventory and stated advertising preferences when reviewing campaign matches. Campaign availability depends on advertiser demand and fit. Participation does not guarantee any campaign, fill rate, CPM, revenue or minimum earnings.
Advertising delivery
When supported by the connected setup, approved ads may be served dynamically into eligible episodes. Dynamic placements are not intended to permanently alter your master episode audio and can be updated or removed through the delivery system. Placement controls, ad categories and any show-specific approval process will be confirmed during onboarding.
Earnings
Podcaster earnings are based on eligible, validated campaign delivery and the applicable campaign rate or revenue share communicated by Lucid. Illustrative calculators and examples are estimates only. Not every download will necessarily receive a paid ad or qualify for payment.
Payout timing, currency, payment method and any applicable threshold will be confirmed during onboarding or in your dashboard. Lucid may withhold or adjust amounts connected to invalid, duplicated, fraudulent, unsupported, reversed or otherwise nonbillable delivery.
5. Advertiser and podcast promotion services
Advertiser campaigns, podcast promotion subscriptions and production services are governed by the package, price, delivery allocation, renewal terms and creative options shown at checkout or agreed in writing.
A guaranteed listen or impression refers to eligible advertising delivery measured under Lucid's reporting method. It does not guarantee podcast streams, followers, subscribers, sales, leads, conversions or any other business outcome.
Unless a specific podcast is confirmed in writing, Lucid may select and change eligible placements based on availability, audience relevance, brand suitability and delivery requirements. Delivery schedules are estimates and may change. If a paid allocation needs more time, Lucid may continue delivery until the agreed eligible total is completed.
Subscription cancellation stops future renewals. Unless otherwise stated at checkout or agreed in writing, cancellation does not cancel an allocation that has already been paid for, and Lucid may continue delivering that allocation until completion.
6. Measurement, eligibility and reporting
Campaign figures may be supplied by Lucid, podcast hosts, delivery platforms, measurement providers or other technical partners. Reporting may be delayed and may not update in real time.
Lucid may exclude traffic that is invalid, automated, duplicated, fraudulent, outside agreed targeting, technically unsupported, not billable by the advertiser or otherwise ineligible under the relevant campaign rules. Reasonable corrections may be made when updated data becomes available.
You may not manipulate downloads, impressions, reporting or campaign delivery, or encourage any person or system to generate artificial activity.
7. Fees, payments, subscriptions and taxes
Podcast applications are free unless Lucid and the podcaster agree otherwise in writing. Advertiser prices, subscription charges and any optional production fees are shown at checkout or in a written campaign agreement. Prices may exclude taxes and third-party charges.
Recurring services renew at the stated interval until cancelled. You authorize the payment provider to charge the selected payment method for each renewal. You are responsible for applicable taxes, duties and payment-provider fees associated with your purchases or earnings.
Except where required by law or expressly agreed in writing, payments are nonrefundable once service preparation or campaign delivery has begun. Any service-specific delivery guarantee, cancellation right or refund arrangement stated at checkout or in a written order remains applicable.
8. Content, creative and limited licenses
You represent that you own or have the necessary rights to the content, artwork, trademarks, audio, advertising creative, claims and other materials you provide to Lucid, and that our authorized use of them will not infringe another person's rights or break applicable law.
You grant Lucid and its service providers a limited, nonexclusive, worldwide license to host, reproduce, process, adapt for technical formatting, distribute and display submitted materials only as reasonably necessary to review applications, produce approved creative, operate campaigns, deliver ads, report results and promote the relevant show or campaign within Lucid's services. This license ends when it is no longer reasonably needed for those purposes, subject to legal and recordkeeping requirements.
Lucid retains ownership of its website, platform, branding, processes, software, templates, reports and other materials created independently of your content. No rights are granted except those expressly stated.
9. Acceptable use
You must not use Lucid to:
- break any law, regulation, platform rule or third-party right;
- submit false, misleading or deceptive information or claims;
- distribute malware or interfere with the security or operation of the services;
- access another person's account without permission;
- generate or conceal invalid advertising traffic;
- harass, exploit or unlawfully discriminate against any person; or
- copy, reverse engineer or misuse Lucid's systems except where the law expressly permits it.
10. Suspension and termination
You may stop using Lucid and may request account or podcast deactivation by contacting us. Paid subscriptions must also be cancelled through the stated cancellation process to stop future renewals.
Lucid may suspend or terminate access, remove a show from campaign matching, pause delivery or reject materials where reasonably necessary to protect listeners, advertisers, podcasters, partners or the services, or where we believe these Terms have been breached. Where practical, we will explain the issue and provide an opportunity to resolve it.
Termination does not remove payment obligations already incurred. Valid podcaster earnings accrued before deactivation remain subject to final validation, adjustments and the applicable payout terms.
11. Disclaimers, liability and general legal terms
Lucid provides the services on an "as available" basis. To the fullest extent permitted by law, we do not guarantee uninterrupted access, error-free operation, advertiser demand, campaign availability, specific placement results, revenue or business outcomes.
To the fullest extent permitted by law, Lucid will not be liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, data, goodwill or business opportunity arising from the services. Nothing in these Terms excludes liability that cannot legally be excluded or limits any mandatory consumer right.
You agree to indemnify Lucid against third-party claims, damages and reasonable costs arising from materials you provide, your breach of these Terms, your infringement of another person's rights or your unlawful use of the services, except to the extent caused by Lucid's own unlawful conduct.
Lucid may use third-party providers for hosting, payments, analytics, podcast delivery, measurement and other functions. Those providers may apply their own terms. Lucid is not responsible for third-party services outside our reasonable control.
If part of these Terms is unenforceable, the remaining terms will continue to apply. A delay in enforcing a term is not a waiver. You may not transfer your rights under these Terms without Lucid's written consent. Lucid may transfer these Terms as part of a merger, sale, reorganization or transfer of its business or services.
We may update these Terms to reflect changes to the services, business or law. Material changes will be posted here with a new effective date and, where appropriate, communicated directly. Continued use after the updated Terms take effect constitutes acceptance, subject to applicable law.
